Terms of Service

1. Who you are contracting with

The Cerno AI service (the "Service") is provided by Cerno AI ("Cerno", "we", "us"). By creating an account or using the Service you enter into a binding agreement with Cerno AI on the terms below. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Acceptance of terms

By registering for, accessing or using the Service, you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not use the Service.

3. The Service

Cerno AI is a subscription software service that uses large language models to categorize, summarize and draft replies for the email content you connect to it. We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan. You retain all rights to the email content you connect to Cerno.

4. Payment, billing and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. When you subscribe, your contract for the sale of the subscription is with Paddle; your contract for the use of the Service is with us.

Payment, billing, subscription renewals, cancellations, applicable taxes, invoicing and refunds are governed by Paddle's Checkout Buyer Terms and Paddle's Refund Policy, together with our own Refund Policy.

Subscriptions renew automatically at the end of each billing period at the then-current price unless you cancel. Fees are exclusive of taxes, which Paddle calculates and collects where required. You are responsible for keeping a valid payment method on file.

5. Free trial

New subscriptions include a 7-day free trial. You will not be charged during the trial. If you do not cancel before the trial ends, Paddle will charge the subscription fee for your selected plan and the subscription will begin.

6. Email data security

You retain all rights to the email content you connect to Cerno. We process that content only to provide the Service, using encrypted transport and storage. You are responsible for maintaining the confidentiality of your account credentials and for activity that occurs under your account.

7. AI processing disclosures

The Service uses large language models to summarize, categorize and draft replies. AI outputs are probabilistic and may be inaccurate, incomplete or biased. You are responsible for reviewing suggestions before sending, sharing or acting on them. Cerno is not liable for decisions made based on AI-generated content.

You must not use the Service to generate or transmit unlawful content, spam, harassment, malware, content that infringes another party's intellectual property or privacy rights, or content intended to deceive (including deepfakes of real people without their consent). We may remove content or suspend accounts that violate this section. You are responsible for having the rights necessary to submit any content you connect to the Service.

8. Acceptable use

You agree not to (a) misuse the Service, including unlawful use, fraud or spam; (b) attempt to disrupt or interfere with the Service, including probing, scanning or introducing malware; (c) reverse engineer, resell or redistribute the Service; or (d) circumvent plan limits or access controls.

9. Data retention

We retain your data for as long as your account is active. You may delete your account at any time; upon deletion we will remove or anonymize your data within a reasonable period, subject to applicable legal retention requirements (including tax records retained by Paddle).

10. Warranties and liability

The Service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose. We do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, our aggregate liability arising out of or in connection with the Service is limited to the fees you paid to Paddle for the Service in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special or consequential damages, or loss of profits, data or goodwill. Nothing in these terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.

11. Suspension and termination

We may suspend or terminate your access if you materially breach these terms, fail to pay, pose a security or fraud risk, or repeatedly violate the acceptable-use section. You may cancel at any time from your account's Billing page or via Paddle. On termination, your right to use the Service ends and we will remove or anonymize your data as described in the Privacy Policy.

12. Governing law

These terms are governed by the laws of the operator's country of residence, without regard to conflict-of-law principles. Where you are a consumer, mandatory consumer-protection laws of your country of residence continue to apply. Disputes arising under these terms will be brought in the competent courts of that jurisdiction.

13. Changes

We may update these terms from time to time. Material changes will be notified by email or in-app. Your continued use of the Service after the change takes effect constitutes acceptance of the updated terms.
